Terms of Service

Please read these Terms of Service ("Terms") carefully before using MatchaGraph™ (the "Service"), operated by Sanko Inc. ("Sanko", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using MatchaGraph™, you confirm that you are at least 18 years of age, that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree, do not use the Service.

2. Description of Service

MatchaGraph™ is an AI-powered sensory evaluation platform that allows registered users to record, analyze, and compare matcha tea tasting evaluations. The Service uses third-party AI model providers to process natural language input and generate responses; by using the Service, you acknowledge and consent to this processing as described in our Privacy Policy. The Service is provided for personal, non-commercial use unless otherwise agreed in writing with Sanko Inc.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.

4. User-Submitted Data

You retain ownership of any tasting notes, evaluations, and data you submit to the Service ("User Content"). By submitting User Content, you grant Sanko Inc. a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, store, process, adapt, modify, publish, translate, distribute, and otherwise make available your User Content, in whole or in part, in any format or medium now known or hereafter developed, for any lawful business purpose. Such purposes include, without limitation, operating and maintaining the Service, conducting research and analysis, developing or improving products and features, generating market intelligence, and producing aggregated or derived data products. This license survives any termination or expiration of your account.

Sanko Inc. may share or license data derived from User Content with third parties in anonymized, pseudonymized, or aggregated form that does not reasonably identify you as an individual. Personal data associated with your account will be handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that the sensory, preference, and product data you contribute forms part of a growing dataset that may have commercial, research, or analytical value, and you consent to its use as described herein.

5. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to reverse engineer, copy, reproduce, or redistribute any part of the Service, including its source code, algorithms, or UI design.
• Use automated tools (bots, scrapers, crawlers) to access the Service without prior written consent.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Upload or transmit malicious code, viruses, or any other harmful software.
• Interfere with or disrupt the integrity or performance of the Service.

6. Intellectual Property

The Service, including its design, software, text, graphics, logos, and all other content (excluding User Content), is the exclusive property of Sanko Inc. and is protected by copyright, trademark, and other intellectual property laws. Unauthorized use is strictly prohibited.

Nothing in these Terms grants you any right to use Sanko's trademarks, logos, or other proprietary information without prior written consent.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By accessing or using the Service, you consent to the collection, use, and disclosure of information as described in the Privacy Policy.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Sanko Inc. does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sanko Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

10. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service (or any part thereof) at any time. We may also update these Terms at any time. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes.

11. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
